You will be Company Secretary of Sanofi CHC Healthcare India Private Limited, ensuring compliance with India Companies Act and applicable regulation. You will provide guidance and advice on a comprehensive range of legal topics related to the Consumer Healthcare business.
You will also support the Sanofi CHC legal entities company law compliance worldwide, be the focal point of contact for Global Business Support -for its 6 service hubs, one of them to be created in India- giving advice on global routine contracting.
Duties & Responsibilities
1. Provides and performs effective Corporate Secretary role for Sanofi CHC Healthcare India Private Limited and ensures compliance with the requirements of Indian Companies Act, related applicable rules and regulations, under the supervision of the Company Secretary and Legal Head of India CHC.
Specifically:
• Administers, attends and prepares minutes of Board ensure the timely preparation and the smooth conduct of the Board affairs
• Contributes to the planning and preparation for the Board Meetings, Various Committee meetings, Annual General Meetings and other shareholder meetings.
• Ensures that all filings required to be made with Registrar of Companies are done in time
• Provides similar support, advice and coordination -when required- for company law compliance of the Consumer Healthcare private legal entities in other jurisdictions, under supervision of the global Senior Legal Director of Corporate and Partnering.
• Supports on SEBI filings of Sanofi CHC India Limited, as per request of manager.

• Coordinate with the Group/ lawyers on corporate legal aspects of Projects such as re-structuring.

2. Provides legal counsel and guidance to local business and functions on all legal matters.
3. Anticipates and identifies legal risks and counsels on mitigation strategies and solutions,
4. Assists in drafting company policies, collaborating closely with other Legal, Ethics and Business Integrity colleagues and functional support groups to provide general legal advice.
5. Supports or oversees the representation of the company in judicial and administrative proceedings, and in negotiations with state agencies.
6. Supports complex transactions, such as but not only: acquisition, divestments, business development activities; in the structuring, due diligence, drafting, negotiation and review of deal contracts and documentation.
7. Provides training on various legal issues.
8. As focal point of contact for GBS routine contracting, helps optimize processes, harmonizing standards and where possible templates of routine contracts, providing trainings across the 6 service hubs.
Knowledge, Skills & Competencies

▪ Good working knowledge on global and local life science industry
▪ Must be able to succinctly summarize an argument and be capable of presenting complex legal concepts to business partners.

Qualifications

▪ Member of the Institute of Company Secretaries of India with a Law Degree
▪ At least 6+ years of work experience

▪ Pharmaceutical industry experience would be a good to have, open for other similar industry

▪ LL.B. from a reputed Indian university

▪ Experience and with proficiency in general commercial contracts and company law issues in a regulated environment
