Tax Manager - M&A, Business Development & Legal Restructuring

About the job :
Under the supervision of the Head of Tax - M&A Business Development and Legal Restructuring, you will provide tax advice and assistance on all aspects of mergers, acquisitions, divestitures, licensing transactions, and all legal entity restructuring initiatives across Sanofi's global operations in all geographies, and will be involved in determining the best tax structure of corporate transactions, ensuring compliance with evolving international tax regulations and supporting Sanofi's business objectives
Key responsabilities :
Tax Transaction Support
Review of tax due diligence reports, SPAs, and structuring memos
Provide support to M&A, Legal, and Finance teams to evaluate tax features of potential acquisition targets in all geographies
Analyze transaction structuring from a tax standpoint
Implement post-acquisition integration strategy
Legal Restructuring & Financing
Provide tax assistance in legal entity restructuring projects, including purchase/sale/transfer of shares or assets, mergers, combinations, liquidations, and strike-offs
Provide support in the design and implementation of tax-efficient intragroup reorganization plans that aligns with business objectives
Provide tax support to capital increase/decrease initiatives, dividend distribution strategies
Implement strategic tax plannings relating to intra group financing operations
Oversee tax aspects of intra group financing arrangements
Licensing & Intellectual Property
Provide tax assistance in the context of licensing arrangements, IP transfers, and royalty structures
About you :
You are a highly qualified professional with:
- an advanced Degree in Tax Law (Master 2) or equivalent Business school degree with a major in Tax Law
- Professional certification such as Tax Attorney, or equivalent tax qualification
and bring a minimum 5 years of progressive experience in international tax with significant focus on M&A transactions and corporate restructuring
You have :
Deep understanding of international tax principles, treaties, and transfer pricing regulations
Comprehensive knowledge of tax aspects related to corporate restructuring, including mergers, demergers, and liquidations
Strong familiarity with global tax developments, including international tax regulations and their implications
You are known for your autonomy, your ability to meet tight deadlines without compromising quality.
Your communication skills enable you to collaborate efficiently across various levels of the organization
You are fluent in English
